1. Acceptance of Terms
By accessing or using the Quelo Solutions website and services, you agree to be bound by these Terms of Service. If you do not agree, please refrain from using our services.
2. Services
Quelo Solutions provides custom software development, web and mobile application development, cloud architecture, and related consulting services. The specific scope, deliverables, and timelines will be defined in a separate Statement of Work or Service Agreement signed by both parties.
3. Intellectual Property
Upon full payment for services, we assign to you all intellectual property rights to the custom code and deliverables created specifically for your project, unless otherwise agreed in writing. We retain the right to use any pre-existing tools, libraries, and frameworks used in the development process.
4. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of our agreement for a period of three years.
5. Payment Terms
Payment terms, including fees, schedules, and invoicing, are outlined in the applicable Service Agreement. Late payments may result in suspension of services until all outstanding amounts are cleared.
6. Limitation of Liability
To the maximum extent permitted by law, Quelo Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our services, even if advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.
7. Warranties & Disclaimer
We warrant that our services will be performed in a professional and workmanlike manner. All services are provided "as is" without any other express or implied warranty, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
8. Termination
Either party may terminate the agreement with written notice as specified in the Service Agreement. Upon termination, you must pay for all work completed up to the termination date. Confidential information and unfinished deliverables will be returned or destroyed.
9. Website Use
You agree not to misuse our website for any unlawful purpose, to not distribute malware, attempt unauthorised access, or interfere with the proper functioning of the site. We reserve the right to restrict access to any user who violates these terms.
10. Governing Law
These terms are governed by the laws of the Republic of India. Any disputes arising out of these terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
11. Changes to Terms
We reserve the right to modify these terms at any time. Changes become effective upon posting. Continued use of our services after changes constitutes acceptance of the new terms.
